Most corporate work that matters doesn’t fit a template — a financing has its own terms, a shareholder arrangement its own history, a sale its own pressure points. That work is the core of the firm. We handle it with the depth of a large corporate firm and the directness of a boutique: the experienced lawyer is involved directly, not supervising from a distance — which is usually the difference between a clean outcome and an expensive one.

This is the core of the firm

Around the defined, repeatable steps a company needs sits the work that actually turns on judgment: structuring a deal, weighing a set of terms, reading where leverage really lies, and deciding what’s worth pushing on. It rarely looks the same twice, and it doesn’t reduce to a form. It’s most of what we do — and it’s where having a senior lawyer on the matter directly, rather than a step removed, changes the result.

When companies bring us in

Usually when something is being negotiated, structured, or sold — or when a decision will be hard to undo:

How we run a matter

  • Large-firm experience, boutique focus. The depth of corporate work clients would expect from a much larger firm, delivered at a scale where they’re known rather than numbered.
  • Senior attention, directly. You work with the lawyer responsible for your matter from the first conversation through to completion — the judgment you’re retaining is the judgment doing the work.
  • Scoped, and clear on cost. We confirm what we’re actually being asked to do and agree scope and cost before we start; we’re direct about risk and leverage — what’s worth pushing on, what isn’t, and where a deal actually turns.
  • Built for the long term. For companies that need us regularly, this becomes an ongoing-counsel relationship rather than a series of separate engagements.

The experience behind it

Negotiated corporate work rewards having seen the situation before. The firm’s work draws on a depth of experience few firms of its size can offer — including acting as counsel inside a publicly traded company through a multi-billion-dollar merger, advising a Government of Ontario infrastructure agency on major transit and public-private-partnership programs, and more than a decade of cross-border M&A and restructuring work in the Middle East. It’s an unusually broad base to bring to matters far smaller than those — and our clients draw on it directly.

Where the fixed-fee work fits

Not everything needs to be built from scratch. Some steps — an incorporation, a standard founders’ package, a first option plan — are defined enough to handle at a fixed fee, which we offer through our structured legal systems. They sit beneath the advisory practice, not beside it: the moment a matter stops being routine, it’s handled as advisory work. The structure exists so the routine is done efficiently and the judgment-heavy work gets full attention.

Who we work with

We act for founders and early-stage companies, growth and private companies, and the investors and funds that back them — along with U.S. and other foreign companies that need Canadian corporate counsel. The common thread is a matter that needs senior judgment, not just processing.

Common questions

  • How is this different from your fixed-fee kits? The kits handle defined, routine steps. Advisory is for everything that turns on judgment — and the moment a matter stops being standard, it’s advisory work, by design.
  • Do you only take on large deals? The experience behind the firm is large-scale, but we bring it to matters far smaller — that’s rather the point of the firm.
  • What does “ongoing counsel” mean? For companies with continuing needs, we act as the corporate counsel across their matters rather than billing each as a separate, standalone engagement.
  • I’m not sure which area I need. That’s a normal place to begin. A short consultation will sort out what’s involved and how we’d approach it.
  • Who actually does the work? The lawyer responsible for your matter — from the first conversation to completion, not a team you meet once and never see again.

Explore the work

Advisory and transactional work runs across the firm’s practice areas — venture financing, mergers and acquisitions, governance and shareholder structuring, ownership and equity structuring, commercial transactions, and IP and technology. Wherever a matter sits, it’s handled by the lawyer responsible for it.

Not sure which you need? That’s a normal place to begin.
