What This Is

Structure for the repeatable work — judgment for everything else.

Companies face the same legal events as they form, govern, hire, issue equity, set up options, and raise. Much of that work is repeatable enough to define, scope, and deliver through a disciplined process — which is what Structured Legal Systems do.

These are lawyer-led engagements, not templates or a checkout. Every matter runs through intake, conflict and scope review, and a written engagement letter before work begins — the same professional process behind any legal mandate, simply organized so predictable work stays efficient. When a matter turns out to need negotiation, securities or tax analysis, dispute strategy, or transaction execution, it is routed to Bespoke Advisory & Transactions rather than forced into a fixed scope.

Lawyer-led incorporation and initial organization — articles, by-laws, organizational resolutions, initial share issuance, and a digital minute book. The company has to exist before anything else can be built on it.

The founder rulebook after incorporation — founder share documentation, a standard founders' shareholders agreement, founder IP assignment, and the related approvals.

Stage 02 Build the team

Build a Team Kit

CAD $3,950 · fixed

Standard documentation for engaging contractors — independent contractor agreement, confidentiality and invention assignment, and restrictive covenants where legally available.

Stage 03 Structure equity

Equity Structuring Kit

FromCAD $4,950

Restricted shares and vesting tied to continued contribution — issuance, vesting schedule, service and IP alignment, and approvals for a single Canadian recipient on standard terms. Intake-gated, because equity can raise tax, valuation, and securities issues.

Stage 04 Set up options

ESOP Plan Setup Kit

The legal framework you grant options under — plan document, board approval, form option agreement, vesting framework, and exercise procedures. Individual grants are added through the Option Grant Implementation Add-on (from CAD $1,250).

Stage 05 Raise

Funding Kit

Company-side readiness for a standard SAFE or convertible note — documents, approvals, and a closing checklist for one closing. Consultation-first, because financing can quickly involve securities, investor counsel, and negotiation.

Intake-based

As legal needs recur, Ongoing Counsel Support carries the relationship forward — configured around the company through annual counsel hours, approved Workflow Kits, or both. Not a fixed tier and not unlimited general counsel; the allocation is set after intake.

A matter can begin as a structured inquiry and be routed to advisory work once intake reveals complexity — for example:

  • a founders' agreement involves disagreement or negotiated terms;
  • an equity matter involves FMV, tax, or non-resident ownership;
  • a financing involves investor counsel or securities filings.
How Engagement Works

Intake determines the right path.

You do not need to know in advance whether your matter fits Launch, a Workflow Kit, Ongoing Counsel Support, or advisory work. A short intake, a conflict check, and a scope review confirm the right path; scope, fee, and terms are then set out in a written engagement letter before any work or payment.
