Fit

Best for

Companies with recurring but defined legal needs, building several parts of their legal infrastructure over a year.

Excluded

Outside ongoing support

Complex transactions, investor negotiations, securities filings, M&A, and disputes — handled separately.

Escalation

Advisory conversion

Complex, negotiated, securities-sensitive, dispute, or cross-border matters route to advisory.

What This Is

Structured support — configured, not pre-set.

Flexible legal capacity for companies that need infrastructure over time. It is not unlimited general counsel coverage, and it is not a subscription.

The model
Configured, not pre-set

Support is assembled around your company’s actual needs after intake — counsel hours, approved kits, or both — not selected from public plan tiers.

Hours · Kits · Both
The limit
Structured, not unlimited

It isn’t unlimited advice, a transaction retainer, or a way to fit complex deals into fixed hours — those route to advisory.

Defined scope · Escalation built in
Fee follows the configuration.

Billed on the configuration approved after intake — counsel hours, Workflow Kits, or both. Final fee is confirmed after intake, conflict check, scope review, and engagement letter. HST, filing, and third-party fees are separate unless expressly included.

Who it’s built for — and what sits outside.

Structured support fits recurring, defined needs. Judgment, negotiation, filings, and disputes are handled separately through Advisory & Transactional Work.

Who Ongoing Counsel Support is built for

It works well for:

  • companies with recurring but defined legal needs;
  • founders who want an organized legal roadmap after incorporation;
  • startups preparing for growth, hiring, equity structuring, or financing readiness;
  • companies that want structured legal capacity without open-ended general counsel coverage;
  • companies building several parts of their legal infrastructure over a year;
  • venture platforms or portfolios that need coordinated, recurring legal support.

What sits outside ongoing support

Handled separately through advisory:

  • complex shareholders agreements and investor negotiations;
  • securities filings, including Form 45-106F1;
  • M&A and priced financing rounds;
  • founder or shareholder disputes and litigation;
  • cross-border and tax-sensitive structuring;
  • cap table cleanup and complex governance;
  • third-party counsel comments and urgent transaction support.

How the Engagement Works

A defined, lawyer-led process from intake to support.

Submitting intake does not create a lawyer-client relationship or guarantee acceptance. The configuration is confirmed only in the engagement letter.

Step 01 · 02

Request & scope review

You submit the intake; Fauri Law runs a conflict check and decides whether it fits structured, enterprise, or advisory support.

Step 03

Configuration recommendation

A recommended configuration based on your needs, stage, risk profile, kit selection, and requested counsel-hour allocation.

Step 04 · 05

Engagement & payment

The engagement letter confirms scope, fees, term, included hours, approved kits, and exclusions; payment or retainer follows.

Step 06

Support begins

Work begins after engagement acceptance, receipt of required information, and payment or retainer.

Are securities filings included?

No. Securities filings, including Form 45-106F1 filings, are not included unless separately scoped.

Can enterprise or portfolio support be customized?

Yes. Enterprise and portfolio support can be customized after a dedicated strategy session.

When should I book a strategy session instead of submitting intake?

Book a dedicated strategy session if you are a venture fund, accelerator, platform, portfolio manager, scaling company, multi-entity group, or cross-border business seeking a coordinated support model across several companies, matters, or jurisdictions.

Build the right support model around your company’s next stage.

Ongoing Counsel Support is configured after intake, not selected from public tiers. Tell us what you need, and Fauri Law will assess whether it’s counsel hours, approved Workflow Kits, a combined configuration, enterprise support, or a separate advisory engagement.
