Key Responsibilities

As a Corporate Commercial Lawyer with Fauri Law, you will be responsible for:

Corporate Law Services

  • Advising clients on corporate entity formation, governance, and restructuring.
  • Assisting with mergers and acquisitions, including due diligence and transaction documentation.

Commercial Transactions:

  • Drafting, reviewing, and negotiating commercial contracts and agreements.
  • Providing strategic advice on business operations and regulatory compliance.

Intellectual Property Protection

  • Advising clients on IP strategy, including trademark and copyright registration.
  • Assisting with the protection and enforcement of intellectual property rights.

Venture Capital and Financing:

  • Guiding clients through venture capital funding, financing rounds, and equity transactions.
  • Preparing and negotiating term sheets, investor agreements, and other related documents.

Compliance and Risk Management:

  • Ensuring clients’ operations comply with applicable laws and regulations.
  • Identifying and mitigating legal risks associated with business activities.

Client Relationship Management:

  • Maintaining strong, collaborative relationships with clients.
  • Providing proactive and responsive legal support tailored to client needs.

Documentation and Record-Keeping:

  • Keeping accurate records and managing documentation for client matters.
  • Ensuring timely and efficient communication with clients and colleagues.



To be successful in this role, you should have:

  • Legal qualification and licensing to practice law in Ontario.
  • At least 5 years of experience in corporate and commercial law.
  • Proven expertise in venture capital, IP protection, and corporate governance.
  • Experience in securities law is a plus.
  • Strong drafting, negotiation, and advisory skills.
  • Ability to work independently and manage a remote workload effectively.
  • Detail-oriented mindset with excellent communication skills.
  • Proficiency in using legal practice management software.
