Key Responsibilities

As a Corporate Commercial Lawyer with Fauri Law, you will be responsible for:

Corporate Law Services

Advising clients on corporate entity formation, governance, and restructuring.
Assisting with mergers and acquisitions, including due diligence and transaction documentation.

Commercial Transactions:

Drafting, reviewing, and negotiating commercial contracts and agreements.
Providing strategic advice on business operations and regulatory compliance.

Intellectual Property Protection

Advising clients on IP strategy, including trademark and copyright registration.
Assisting with the protection and enforcement of intellectual property rights.

Venture Capital and Financing:

Guiding clients through venture capital funding, financing rounds, and equity transactions.
Preparing and negotiating term sheets, investor agreements, and other related documents.

Compliance and Risk Management:

Ensuring clients’ operations comply with applicable laws and regulations.
Identifying and mitigating legal risks associated with business activities.

Client Relationship Management:

Maintaining strong, collaborative relationships with clients.
Providing proactive and responsive legal support tailored to client needs.

Documentation and Record-Keeping:

Keeping accurate records and managing documentation for client matters.
Ensuring timely and efficient communication with clients and colleagues.

Requirements

To be successful in this role, you should have:

Legal qualification and licensing to practice law in Ontario.
At least 5 years of experience in corporate and commercial law.
Proven expertise in venture capital, IP protection, and corporate governance.
Experience in securities law is a plus.
Strong drafting, negotiation, and advisory skills.
Ability to work independently and manage a remote workload effectively.
Detail-oriented mindset with excellent communication skills.
Proficiency in using legal practice management software.
