Structured Legal Systems · Ongoing Counsel Support

Counsel on hand, configured around your company.

Structured legal capacity for the year ahead — annual counsel hours, approved Workflow Kits, or both.

Ongoing Counsel Support is how the relationship continues after the one-time work is done. It gives founders and growing companies defined legal capacity over a support period, configured to what the company actually needs. It is defined capacity within an approved scope — not unlimited general counsel coverage — and the right configuration is confirmed after a short intake.

What It Is

Defined legal capacity, shaped to your company.

Most companies do not need a full in-house legal function, but they do need counsel they can reach as questions recur — a contract to review, a governance question, a hiring document, a piece of equity housekeeping. Ongoing Counsel Support provides that capacity in a defined, structured form.

You are not buying unlimited advice or open-ended general counsel coverage. You are setting up a clear, agreed amount of legal capacity for the year — through counsel hours, approved kits, or both — with scope and fee confirmed in a written engagement before it begins. When a matter turns out to need negotiation, securities work, or transaction execution, it is handled through Bespoke Advisory & Transactions rather than drawn from your hours.

How It Is Configured

Three shapes, one configured after intake.

The model is simple: counsel hours, approved Workflow Kits, or both. Which one fits — and at what size — is confirmed after a short intake and scope review.

Counsel hours

Defined annual capacity for recurring legal questions, reviews, and corporate matters within approved scope — for companies that want counsel on hand without a specific project.

Approved Workflow Kits

One or more Workflow Kits delivered over the period — for companies that need defined legal outcomes but not standing hours.

Both, combined

Approved kits plus annual counsel hours — for companies building several parts of their legal infrastructure while keeping capacity on hand across the year.

Best For

Who Ongoing Counsel Support is built for.

It works well for:

  • companies with recurring but defined legal needs;
  • founders who want an organized legal roadmap after incorporation;
  • startups preparing for growth, hiring, equity structuring, or financing readiness;
  • companies that want structured legal capacity without open-ended general counsel coverage;
  • companies building several parts of their legal infrastructure over a year;
  • venture platforms or portfolios that need coordinated, recurring legal support.
Scope Boundaries

What sits outside ongoing support.

Ongoing support covers defined, repeatable legal work. The matters below need bespoke judgment and are handled through Bespoke Advisory & Transactions — separately, so they are never quietly drawn from your counsel hours.

These can still be handled by Fauri Law — they are simply scoped on their own terms rather than folded into the support period, and the consultation confirms the right path.

  1. complex or negotiated shareholders agreements;
  2. investor negotiations and investor counsel comments;
  3. securities filings, including Form 45-106F1;
  4. priced financing rounds;
  5. M&A and transaction execution;
  6. founder or shareholder disputes and litigation;
  7. cross-border Canada/UAE structuring;
  8. tax-sensitive equity or corporate structuring;
  9. cap table cleanup and complex governance restructuring;
  10. urgent transaction support and third-party counsel comments.

Ongoing Counsel Support is defined capacity, not unlimited general counsel coverage, urgent-response cover, or a transaction retainer. Stating that once: the support is real and structured, and the boundary is simply where bespoke advisory begins.

Fee & Scope

Fee follows the configuration.

Because the support is configured to your company, the fee depends on the configuration — the counsel hours selected, the approved kits, and the confirmed scope. That is not a hedge; it is the honest shape of a support arrangement built around real needs rather than a fixed tier.

The quote is confirmed after intake, conflict check, scope review, and a written engagement letter. HST, government and filing fees, registry and platform fees, and third-party advisor costs are separate unless expressly included. See Fees & Engagement for detail.

How It Works

From intake to support — a clear, lawyer-led process.

Step 01

Request a Review

Share your company, legal needs, the kits or hours you have in mind, timing, and any red flags.

Step 02

Conflict & Scope

Fauri Law runs a conflict check and assesses whether the request fits structured support, enterprise support, or advisory work.

Step 03

Configuration & Engagement

A configuration is recommended and confirmed in a written engagement letter — hours, approved kits, term, scope, and fee.

Step 04

Support Begins

Work begins after the engagement is accepted and any required payment or retainer is in place.

Submitting intake does not create a lawyer-client relationship. For the firm-wide routing logic across all delivery models, see How We Deliver.

How This Connects

Where ongoing support fits.

Ongoing Counsel Support is the continuation of the company lifecycle — the relationship after the one-time work. See the full arc on Structured Legal Systems.

Often included

Workflow Kits

Approved kits can be delivered inside a support configuration where standard scope is confirmed at intake — founder governance, team documentation, equity, and more.

For multiple companies

Enterprise & Portfolio

Funds, accelerators, platforms, and multi-entity or cross-border organizations needing coordinated support across companies are configured through a dedicated strategy session.

Frequently Asked

Questions about configuration and scope.

Can I choose hours only, or kits only?

Yes — either works. Some companies want defined annual capacity and no specific project; others need one or more Workflow Kits without standing hours. The right shape is confirmed after intake.

Can I add hours or kits later?

Yes, where the additional scope is approved and confirmed in writing — either as a scope update to the existing engagement or a new one.

Do unused hours roll over?

No. Unused counsel hours expire at the end of the support term unless rollover is expressly agreed in the engagement letter.

What happens if a matter turns out to be complex?

It is handled separately through Bespoke Advisory & Transactions, not drawn from your hours. Negotiations, securities filings, disputes, M&A, cross-border, and tax-sensitive matters are scoped on their own terms — so your ongoing capacity stays predictable.

When should I book a strategy session instead?

If you are a venture fund, accelerator, platform, portfolio manager, multi-entity group, or cross-border business seeking coordinated support across several companies or jurisdictions, a dedicated Enterprise strategy session is the better starting point.
