A form of stock option agreement to be used in connection with the grant of stock options to purchase common shares of a startup or emerging corporation to employees, consultants, or directors. The Stock Option Agreement includes specific language for options to be exercisable only after a specific performance or time-based vesting conditions have been satisfied. For example, the company would not want an employee whose employment has been terminated to continue to have the right to exercise options.
