What Launch Is

The first legal step in building a serious company.

The Launch Incorporation Package is Fauri Law’s entry point for new companies. It is designed for founders who want their corporation formed and organized properly from the beginning, with lawyer-led preparation of the incorporation and initial corporate organization documents.

Launch covers the standard legal setup required to bring a new corporation into existence and establish its initial corporate records. It is most appropriate where the company has a simple initial structure, standard founder share issuance, and no immediate need for custom governance, founder vesting, financing documents, or complex share rights.

After Launch, many companies move into the next legal layer: founder governance, restricted equity, commercial documents, hiring infrastructure, financing readiness, or ongoing counsel support.

Launch is intentionally focused on standard incorporation and initial corporate organization. The following are not included in the Launch fixed fee, but may be appropriate next steps or separately scoped matters.

Conflict & Scope Review

Fauri Law reviews the intake, confirms whether the matter fits standard Launch scope, and completes the required conflict check.

Step 03

Engagement Letter

If the matter is accepted, Fauri Law provides an engagement letter confirming scope, fees, assumptions, exclusions, and next steps.

Step 04

Payment & Filing Fees

Payment and applicable filing fees are handled after the engagement letter is accepted.

Step 05

Incorporation & Organization

Fauri Law prepares and files the incorporation, prepares the initial organization documents, and sets up the corporate records.

Step 06

Delivery & Review

You receive the completed launch package and attend a delivery/review session to understand the corporate records and recommended next steps.

Is Launch an annual plan?

No. Launch is a one-time incorporation and initial organization package. It is not an annual plan, subscription, or ongoing counsel arrangement.

If you need recurring legal support after incorporation, you may consider Ongoing Counsel Support after intake.

Can I add a shareholders agreement?

Yes, but a shareholders agreement is not included in Launch.

If you need founder governance, ownership rules, transfer restrictions, founder IP alignment, and decision-making terms, the usual next step is the Startup Kit. If the shareholders agreement is complex or negotiated, it may require bespoke advisory scope.

Do I need the Startup Kit after Launch?

Not every company needs the Startup Kit immediately, but many multi-founder companies should consider it.

Launch creates and organizes the corporation. The Startup Kit helps define the founder relationship, founder ownership, governance rights, IP ownership, and the rules for how the company is controlled and operated between founders. If there is more than one founder, the Startup Kit is often the logical next step after Launch.

Does Launch include vesting?

No. Launch does not include founder vesting, restricted shares, repurchase rights, leaver provisions, or vesting-based equity arrangements.

If equity should be earned over time or tied to continued contribution, the appropriate next step is the Equity Structuring Kit or a custom equity structuring review.

Does Launch include tax advice?

No. Launch does not include tax advice, accounting advice, valuation advice, tax elections, rollover planning, or tax-driven structuring.

You should obtain tax and accounting advice where required. If legal coordination with tax or accounting advisors is needed, that can be separately scoped.

Can I use Launch if I already incorporated?

Sometimes. If you already incorporated but did not complete proper corporate organization, share issuance, director/officer appointments, or minute book setup, Fauri Law may be able to assist. However, this may become a corporate cleanup matter rather than a standard Launch incorporation.

Existing corporation reviews are assessed through intake and may require separate scope.

Can Launch include multiple share classes?

Yes, if appropriate, but multiple share classes are not included in the base Launch fee. A Multi-Class Share Structure Add-on is available for standard multi-class structures. More complex share rights, investor rights, preferred shares, tax-sensitive structures, or custom governance rights require separate scope.

What happens after delivery?

After Launch is delivered, you will have the corporation and initial organization documents in place. The next legal step depends on your company’s needs. Common next steps include:
