This Board Organizational Resolution precedent is a template for director organizational resolutions for a newly incorporated private corporation. The template includes resolutions pertaining to the corporate records, location of the minute book, the general by-law, the form of share certificate and issuance of shares, corporate seal if applicable, financial year end, designation and appointment of officers, banking matters, and location of the registered office. This Form of resolutions of the board of directors can be used in lieu of an organizational meeting for a corporation incorporated under the Canada Business Corporations Act (CBCA) or the Ontario Business Corporations Act (OBCA).
