THESE TERMS OF SERVICE IS A LEGALLY BINDING DOCUMENT BETWEEN USER/VISITOR AND (FAURI LAW) (DEFINED BELOW). THESE TERMS OF SERVICE WILL BE EFFECTIVE UPON YOUR ACCEPTANCE OF THE SAME (DIRECTLY OR INDIRECTLY IN ELECTRONIC FORM OR BY MEANS OF AN ELECTRONIC RECORD) AND WILL GOVERN THE RELATIONSHIP BETWEEN USER/VISITOR AND (FAURI LAW) FOR THE SERVICE OF THE WEBSITE (DEFINED BELOW).

These Terms of Service of the website located at the www.faurilaw.ca “URL” (the Website) is between (Fauri Law) or www.faurilaw.ca (hereinafter referred to as Fauri Law ” or “We” or “Us” or “Our“) and the guest users or registered users of the Website (hereinafter referred to as “You” or “Your” or “Yourself” or “User“) describe the terms on which Fauri Law offers You access to the Website and such other services as are incidental and ancillary thereto. “Services”  refers to the various online offerings, features, Content (Defined below) functionalities, and interactions provided by www.faurilaw.ca to its users, encompassing but not limited to content access, user accounts, communication tools, e-commerce services, search and navigation tools, user-generated content, notification services, and customer support, as described and made available through the Website. These Services are subject to the terms and conditions set forth in this Terms of Service agreement. The Website provides profiles on professionals, articles, publications, information, events, data, templates and other materials (the “Content“). 

 

A. GENERAL TERMS

1. User Consent to the Terms.

(a) You represent that you have read and agree to be bound by the Terms.

(b) Modifications. Fauri Law reserves the right to modify the Terms at any time. You should review the Terms regularly. By accessing or using the Website after any such modifications, you agree to be bound by, and comply with, the Terms then posted. If any modification is not acceptable to you, you must cease accessing and using the Website.

(c) No Lawyer-Client or Other Relationship Created. Your access to, or use of, the Website does not create a lawyer-client, other professional-client or fiduciary relationship. Your use of the Website may facilitate access to, or communications with, partners, employees and consultants of Fauri Law (“Fauri Law Personnel”) by way of email or otherwise via the Website. The receipt of any such communications by Fauri Law Personnel does not create a lawyer-client, other professional-client or fiduciary relationship. The Website or the availability of the Services does not suggest that any Fauri Law Personnel practises professionally in any jurisdiction other than in which he or she is qualified.

(d) Legal Advice Not Provided. The Services do not constitute legal or other professional advice. The Services should not be relied upon as accurate, reliable, complete, current, timely or fit for any particular purpose, without receiving advice from a lawyer or other relevant professional. You should seek specific legal advice by contacting a Fauri Law Personnel or your own legal counsel in relation to your specific legal issues. No one should act, or not act, on the sole basis of the Services.

(e) Currency of Content. The Content is provided solely for informational purposes. The Content is current as of the date of first publication but may no longer be accurate as a result of the passage of time, changes in the law or subsequent court decisions.

(f) Communications Not Confidential. Fauri Law does not guarantee the confidentiality of any communications made by you via email or otherwise through the Website and cannot guarantee that any such communication is protected by solicitor-client or any other professional privilege. If you wish to provide information of a confidential or sensitive nature to Fauri Law Personnel, please contact a lawyer or other professional directly by telephone.

g) Website Intended Audience. This Website is intended for and directed to residents of Canada over the age of 18 years

3. Intellectual Property

(a) Ownership of Intellectual Property. Except as otherwise set forth herein, all right, title and interest in and to (a) the Services and the Content; (b) all registered and unregistered trademarks, service marks and logos; (c) all trade secrets, proprietary information, our confidential information, and know-how; (d) all registered and unregistered copyrights including, but not limited to, any text, video, audio, forms, images, displays, and software; (e) Processed Data; (f) Activity Metadata , (g) Feedback, and (h) all other intellectual property, proprietary rights or other rights related to the tangible or intangible property which is used, developed, comprising, embodied in or practiced in connection with any of the Services identified herein (collectively, “Fauri Law Intellectual Property Rights”) are owned by the Fauri Law, and you agree to make no claim of interest in or ownership of any such Fauri Law Intellectual Property Rights. You acknowledge and agree that no title to the Fauri Law Intellectual Property Rights is transferred to you and that you do not obtain any rights, express or implied, in any of the Services, other than the rights expressly granted herein. The right, title, and interest to your user data is owned by you.

(b) Trademarks. “Fauri Law” and certain other marks used on the Services are trademarks and/or service marks of the Fauri Law. All other trademarks, service marks, and logos used on the Services are the trademarks, service marks, or logos of their respective owners. Faurilaw, FLConnect Membership™, FLStartup Accelerate™, FLDox™ and FL Dr@ft™ Automated Document are our trademarks. Other trademarks and trade names may also be used on this Website. The use or misuse of any trademarks or any other Service on the Website except as provided in these terms and conditions is strictly prohibited. Nothing contained on the Website shall be construed as granting, by implication, estoppel or otherwise, any licence or right to use any trademark without our prior written permission.

(c) Feedback Ownership. If you provide any feedback, reviews, or suggest any changes or modifications to any Service (“Feedback”), such Feedback shall be deemed non-confidential and the Fauri Law will own all rights, title, and interest in, and shall have all rights to use such Feedback. You hereby irrevocably assign to us all right, title, and interest in and to the Feedback and agree to provide us any assistance we may require to document, perfect and maintain our rights in the Feedback. You may not remove, modify or obscure any copyright, trademark, or other proprietary rights notices that appear on any Service. You agree that any derivative or transformed data derived by us in whole or part from User Data that does not include your personal information shall be the exclusive property of the Fauri Law, and nothing herein shall limit our use or exploitation thereof.

4. Restrictions on Use.

By accessing the services provided by Fauri Law through this Website, you agree to adhere to the following usage restrictions:

(a) Prohibited Usage: You may not use the Service for any illegal purpose, to facilitate the violation of any law or regulation, or in any manner inconsistent with the Terms. The Service is intended for your personal, non-commercial use and benefit. You may not use, transfer, distribute, or dispose of any information contained in the Service in a way that competes with the business of Fauri Law or any of its suppliers.

(b) Use of Service Content: Except as expressly permitted in writing by Fauri Law, you may not copy, reproduce, recompile, decompile, disassemble, reverse engineer, distribute, publish, display, perform, modify, upload to, create derivative works from, transmit, transfer, sell, license, upload, edit, post, frame, link, or exploit any part of the Service. You are allowed to download material from the Service and make one print copy for your personal, noncommercial use, provided that you retain all copyright and other proprietary notices. Recirculation, redistribution, or publication of the analysis and presentation included in the Service without Fauri Law’s prior written consent is strictly prohibited.

(c) Unauthorized Actions: You may not engage in unauthorized use, copying, reproduction, modification, publication, republication, uploading, framing, downloading, posting, transmitting, distributing, duplicating, or any other misuse of any part of the Service. Any such unauthorized use will violate the Terms and may infringe upon our rights or the rights of the third party that owns the affected Service.

(d) Responsible Email Usage: You may use the “e-mail this article” function solely to inform others about Fauri Law News or articles. You shall immediately cease using this function for recipients who have requested not to receive such information.

(e) No Database Construction: You may not use the Service and the information contained therein to construct a database of any kind. The Service may not be stored (in its entirety or in any part) in databases for access by you or any third party or to distribute any database services containing all or part of the Service.

(f) Respect for Intellectual Property: You may not use any trademarks, trade names, service marks, copyrights, or logos of Fauri Law in any manner that implies association with or ownership of these items. You acknowledge that you have no ownership rights to any of such items.

(g) Non-interference and Security: You may neither interfere with nor attempt to interfere with the proper working of the Service or any activities conducted on or through it. You shall not violate the security of the Service or attempt to gain unauthorized access to it, the data, materials, information, computer systems, or networks connected to any server associated with the Service. Actions that impose an unreasonable or disproportionately large load or burden on the Service or its infrastructure are strictly prohibited.

(h) Automated Access: You may not use or attempt to use any automated devices, programs, tools, algorithms, processes, or methodologies to access, acquire, copy, or monitor any portion of the Service, its data or content, without the prior express written consent of Fauri Law.

(i) Disguised Origin of Content: You may not forge headers or manipulate identifiers to disguise the origin of any content. Should you become aware of any violations of these Terms by others, you agree to report them promptly.

5. License.

You acquire absolutely no rights or licenses in or to the Service and materials contained within the Service other than the limited right to utilize the Service in accordance with the Terms. Should you choose to download content from the Service, you must do so in accordance with the Terms. Such download is licensed to you by Fauri Law ONLY for your own personal, noncommercial use in accordance with the Terms and does not transfer any other rights to you.

6. Disclaimer and Limitation of Liability.

(a) YOU AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK AND ACKNOWLEDGE THAT THE SERVICE AND ANYTHING CONTAINED WITHIN THE SERVICE, INCLUDING, BUT NOT LIMITED TO, CONTENT, SERVICES, GOODS, OR ADVERTISEMENTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND THAT FAURI LAW MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE SERVICE, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, NON-INFRINGEMENT, TITLE, OR FITNESS FOR A PARTICULAR PURPOSE OR USE OR THOSE ARISING BY STATUTE OR OTHERWISE IN LAW FROM A COURSE OF DEALING OR USAGE OF TRADE. FAURI LAW DOES NOT WARRANT THAT THE AVAILABILITY OF OR THE FUNCTIONS CONTAINED IN THIS WEBSITE OR THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THIS WEBSITE, THE SERVICE OR SERVER DO NOT VIOLATE ANY PATENT OR OTHER INTELLECTUAL PROPERTY RIGHTS OF ANY PERSON OR ENTITY. FAURI LAW DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THIS WEBSITE OR THE SERVICE IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU (AND NOT FAURI LAW) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT FULLY APPLY TO YOU.

(b) Fauri Law does not warrant that the Service is compatible with your equipment or that the Service, or e-mail sent by Fauri Law or its representative, is free of errors or viruses, worms or “Trojan horses,” or any other harmful, invasive, or corrupted files, and is not liable for any damage you may suffer as a result of such destructive features. You agree that Fauri Law and its Suppliers, agents, directors, officers, employees, representatives, successors, and assigns shall have no responsibility or liability for: (i) any injury or damages, whether caused by the negligence of Fauri Law, its parent, or their respective affiliates, Suppliers, agents, directors, officers, employees, representatives, general partner, subsidiaries, successors, and assigns, or otherwise arising in connection with the Service and shall not be liable for any lost profits, losses, punitive, incidental or consequential damages, or any claim against Fauri Law by any other party; or (ii) any fault, inaccuracy, omission, delay, or any other failure in the Service caused by your computer equipment or arising from your use of the Service on such equipment. The content of other Websites, services, goods, or advertisements (“Third Party Sites”) that may be linked to the Service is not maintained or controlled by Fauri Law. Our provision of links to Third Party Sites is not an endorsement of any information, product or service that is offered on or reached through such Third Party Site Fauri Law is not responsible for the availability, content, or accuracy of other Web sites, services, or goods that may be linked to, or advertised on, the Service. Fauri Law does not: (a) make any warranty, express or implied, with respect to the use of the links provided on, or to, the Service; (b) guarantee the accuracy, completeness, usefulness or adequacy of any other Web sites, services, goods, or advertisements that may be linked to the Service; or (c) make any endorsement, express or implied, of any other Web sites, services, goods, or advertisements that may be linked to the Service. If you decide to leave this site and access the Third Party Sites, you do so at your own risk and you should be aware that our terms and policies no longer govern. Fauri Law is also not responsible for the reliability or continued availability of the telephone lines, wireless services, communications media, and equipment you use to access the Service. You understand that Fauri Law and/or third-party contributors to the Service may choose at any time to inhibit or prohibit their content from being accessed under the Terms.

(c) NOTHING ON THE WEBSITE IS INTENDED TO BE LEGAL ADVICE AND NOTHING SHALL BE CONSTRUED BY YOU AS SUCH.

(d) UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, SHALL FAURI LAW, ITS PARENTS, AFFILIATES, SUBSIDIARIES, SUPPLIERS, AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, SUCCESSORS, LICENSORS OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PERSON FOR DAMAGES OF ANY KIND, WHETHER BASED IN TORT, CONTRACT, STRICT LIABILITY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES EVEN IF FAURI LAW HAS BEEN ADVISED SPECIFICALLY OF THE POSSIBILITY OF SUCH DAMAGES, ARISING IN ANY WAY FROM OR IN CONNECTION WITH THIS WEBSITE, THE SERVICE, USE OF OR INABILITY TO USE THE SERVICE OR ANY LINKS OR ITEMS ON THE SERVICE OR ANY PROVISION OF THE TERMS, SUCH AS, BUT NOT LIMITED TO, LOSS OF REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL FAURI LAW’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING BUT NOT LIMITED TO, NEGLIGENCE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THIS WEBSITE.

7. Your Authority to Agree to The Terms.

You represent, warrant and covenant that: (i) you have the power and authority to enter into this agreement; and (ii) you are at least eighteen (18) years old.

8. Submitting Information to the Website

(a) The Website is not a secure means of communication and any information you supply to us will not be kept confidential. For that reason, you should not submit or send to us any patentable ideas or patent applications, advertising or marketing suggestions, prototypes or any information, written or oral, which you regard as confidential or commercially sensitive or valuable.

(b) Where our Website enables you to communicate with us and/or other users of the Website, you may not use the Website to transmit harmful or offensive (e.g., violent, obscene, discriminatory, defamatory or otherwise illegal) communications or material which might otherwise bring us or the Website into disrepute. Although we reserve the right to monitor, edit, review or remove discussions, chats, postings, transmissions, bulletin boards and similar communications on the Website from time to time, we are under no obligation to do so and assume no responsibility or liability arising from any Content posted on the Website nor for any error, omission, infringement, defamatory statement, obscenity or inaccuracy contained in any such information.

(c) You represent and warrant that any content you supply to us is and shall be your own original work and has been lawfully provided to us and that you have all necessary consents to provide this to us.

9. Hyperlinks and Third Party Sites

(a) The Website may contain hyperlinks or references to third party websites other than the Website. Any such hyperlinks or references are provided for your convenience only. We have no control over third party websites and accept no responsibility for any content, material or information contained in them. The display of any hyperlink and reference to any third party website does not constitute an endorsement of such third party’s website, products or services. Your use of a third party site may be governed by the terms and conditions of that third party site.

10. Indemnification.

You agree, at your own expense, to indemnify, defend and hold harmless Fauri Law, its Suppliers, agents, directors, officers, employees, representatives, successors, and assigns from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ and experts’ fees, arising out of or in connection with the Service, or any links on the Service, including, but not limited to: (i) your use or someone using your computer’s use of the Service; (ii) use by someone using your account; (iii) a violation of the Terms by you or anyone using your computer (or account, where applicable); (iv) a claim that any use of the Service by you or someone using your computer (or account, where applicable) infringes any intellectual property right of any third party, or any right of privacy or publicity, is libelous or defamatory, or otherwise results in injury or damage to any third party; (v) any deletions, additions, insertions or alterations to, or any unauthorized use of, the Service by you or someone using your computer (or account, where applicable); (vi) any misrepresentation or breach of representation or warranty made by you contained herein; or (vii) any breach of any covenant or agreement to be performed by you hereunder. You agree to pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorneys’ fees and costs awarded against or otherwise incurred by or in connection with or arising from any such claim, suit, action, or proceeding attributable to any such claim. Fauri Law reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Fauri Law in asserting any available defense. You acknowledge and agree to pay Fauri Law’s reasonable attorneys’ fees incurred in connection with any and all lawsuits brought against you by Fauri Law under the Terms and any other terms and conditions of service on this Website, including without limitation, lawsuits arising from your failure to indemnify Fauri Law pursuant to the Terms.

11. Termination.

(a) You may terminate the Terms, with or without cause and at any time, by discontinuing your use of the Service and destroying all materials obtained from the Service. (b) You agree that, without notice, Fauri Law may terminate the Terms, or suspend your access to the Service, with or without cause at any time and effective immediately. The Terms will terminate immediately without notice from Fauri Law if you, in Fauri Law’s sole discretion, fail to comply with any provision of the Terms. (c) Fauri Law shall not be liable to you or any third party for the termination or suspension of the Service, or any claims related to the termination or suspension of the Service. Upon termination of the Terms by you or Fauri Law, you must discontinue your use of the Service and destroy promptly all materials obtained from the Service and any copies thereof. Fauri Law will determine your compliance with the Terms in its sole discretion and its decision shall be final and binding and not subject to challenge or appeal. Any violation of the Terms may result in restrictions on your access to all or part of this Website and may be referred to law enforcement authorities. No changes to or waiver of any part of the Terms shall be of any force or effect unless formally posted or made in writing and signed by a duly authorized officer of Fauri Law. Upon termination of your membership or access to this Website, or upon demand by Fauri Law, you must destroy all materials obtained from this Website and all related documentation and all copies and installations thereof. You are advised that Fauri Law will aggressively enforce its rights to the fullest extent of the law.

12. Non-Canada Residents & Jurisdictional Issues.

(i) Fauri Law operates this Website in Canada. Fauri Law makes no representation that the Service, including the Subscription Service on this Website and their copyrights, trademarks, patents, and licensing arrangements, are appropriate or available for use in locations other than Canada. If you access this Website from locations outside of Canada you do so on your own initiative and at your own risk, and you are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

(ii) This Website is controlled and operated by Fauri Law from its offices within the Province of Ontario, Canada. Fauri Law makes no representation that materials in this Website are appropriate or available for use in other locations.

13. General

(a) General Provisions. The Terms, including any documents referenced herein, constitute the entire agreement between Fauri Law and You pertaining to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between You and Fauri Law with respect to the Website, Services or the Content. A printed version of the Terms and of any notice given in electronic form will be admissible in judicial administrative or arbitral proceedings based upon or relating to the Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Any failure by Fauri Law to insist upon or enforce strict performance of any provision of the Terms will not be construed as a waiver of any provisions or right. If any of the provisions contained in the Terms are determined to be void, invalid or otherwise unenforceable by an arbitrator or court of competent jurisdiction, such determination shall not affect the remaining provisions contained herein or the affected provision in a jurisdiction outside the jurisdiction of such court.

(b) Governing Law. The interpretation, validity, effect and enforcement of the Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein. These laws apply to the access and use of the Website, Services or the Content by you, notwithstanding any conflicts of laws principles, your domicile, residency or physical location, or the location of the  Fauri Law office or any Fauri Law Personnel with whom you may communicate or deal. The Website, Services and the Content are intended for use only in jurisdictions where they may lawfully be provided for use. You irrevocably agree that the courts of Ontario shall have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with the Terms and for those purposes irrevocably submit all disputes to the jurisdiction of the Ontario courts.

(c) You may not assign, sublicense or otherwise transfer any of your rights and obligations in these Terms to any other person.

 

 

B. SUBSCRIPTION TERMS

 

  1. Subscription Services

“Subscription Services” means Fauri Law’s subscription services that encompass a variety of tailored legal solutions and resources available through its subscription-based platform. These services are designed to cater to the legal needs of individuals, startups, and businesses. Fauri Law offers different subscription types, including FLConnect Membership and FLStartup Accelerate. FLConnect Membership is available in two tiers: Lite and Pro, each offering specific levels of legal support and advantages. Subscribers to FLConnect Membership and FLStartup Accelerate gain access to an array of legal resources, including phone consultations, on-demand legal services, legal document automation tools (FLDr@ft™), contract templates (FLDox™), and exclusive member discounts on additional legal services. The primary goal of Fauri Law’s subscription services is to simplify client access to legal expertise and support, ensuring that subscribers receive cost-effective, reliable legal assistance tailored to their specific legal requirements and business objectives.

  1. Subscriptions, Fees, User Accounts, and Payments

  1. Some of the Fauri Law Services require payment prior to accessing the Service (“Subscription Services”). As consideration for the Subscription Services, you purchase you agree to promptly pay the Fauri Law all applicable prices and fees (collectively, the “Fees”) as designated in the related order process, with such Fees subject to change as provided in these Terms. All Fees are due immediately or upon ordering and are non-refundable, except as otherwise expressly provided herein or as required by applicable law.
  2. If you wish to access a Subscription Service, then you will be redirected to our 3rd-party payment processor to process your payment. When subscribing to a Subscription Service you will need to provide us with your name, email address, billing, and shipping addresses, as well as your payment information. You agree to pay the applicable subscription Fee as set forth on the Website at the time of the purchase of the Service or its renewal, including any sales taxes that may be charged in addition to the Fee. BY PLACING YOUR ORDER, YOU PROVIDE YOUR ELECTRONIC AUTHORIZATION TO FAURI LAW TO CHARGE YOU FOR CURRENT AND FUTURE PURCHASES, INCLUDING AUTOMATED SUBSCRIPTION RENEWALS, AGAINST YOUR CREDIT CARD ON FILE UNLESS YOU CANCEL THE SERVICE PRIOR TO ANY RENEWAL. You certify that all information you provide is accurate, and you may update your information in your Member Portal.
  3. Payment Methods. You may edit your Payment Method information by logging onto your Member Portal and editing it in your account settings. If a payment is not successfully settled due to expiration, insufficient funds or otherwise, you nonetheless will remain responsible for any uncollected amounts and authorize us to continue billing the Payment Method or any other payment method you have provided, as it may be updated, including in the event you attempt to create a new account, reactivate the unsettled account or sign up for a new account. This may result in a change to your payment billing dates. If we cannot charge your account, we reserve the right, but are not obligated, to terminate your access to our Website or any portion thereof.
  4. We reserve the right, in our sole discretion, to change or modify the Fees, charges, or other conditions for use of the Subscription Services upon reasonable notice to you. Unless otherwise indicated in your invoice, you are responsible for the payment of, and accordingly, agree to promptly pay, all applicable taxes relating to the Services or payments made by you hereunder including, but not limited to, sales tax, and other taxes and governmental charges, whether federal or provincial on your payment for the purchase of Subscription Services arising from any Fees. All payments of Fees shall be made in CANADIAN dollars. All taxes charged will be reflected in your invoice upon payment.
  5. You are solely and absolutely responsible for any information related to the Payment Account that you provide to the Fauri Law and must promptly inform us of any changes or updates to the Payment Method. By submitting an order to purchase a Subscription Service, you authorize us to charge the order to the Payment Account or to otherwise immediately bill you for such Subscription Services. You acknowledge and agree that unless otherwise expressly stated in the order process, all annual, monthly or other recurring Fees related to the Subscription Services are to be recurring transactions that will be billed on an ongoing basis until such Subscription Services are terminated. If you have provided billing information sufficient for automatic billing, then we will bill you automatically in accordance with the applicable billing frequency.
  6. You agree to pay all Fees and other charges incurred in connection with your Payment Account (including, but not limited to, any applicable taxes) at the rates in effect when the charges were incurred. You agree to pay all amounts due upon our demand. Without limiting any of the Fauri Law’ rights hereunder, should any Fee payment become delinquent, we may suspend or cancel your Services; provided, however, related charges will continue to accrue. You acknowledge and agree that the Fauri Law is not responsible whatsoever for any effect the suspension of Services might have on you or any third party. If Fauri Law provides any Service discount to you and you default on payments or obligations as outlined herein, Fauri Law may rescind all discounts and require full payment for the Services.
  7. If you pay for the Services by credit card or another applicable method, you permanently and irrevocably waive any and all right to enact an improper “chargeback” (that is, a disputed, reversed, or contested charge with the applicable bank card, credit card or other payment methods) against these Fee payments for any reason whatsoever against Fauri Law. If for any reason the Fauri Law is unable to charge your Payment Account for the full amount of the Fee owed for the Services provided, or if we receive notification of an improper chargeback, reversal, payment dispute or are charged a penalty for any Fee previously charged to your Payment Account, you agree that we may pursue all available lawful remedies in order to obtain payment, including, but not limited to, immediate cancellation, without notice to you, of any or all of your Services. We also reserve the right to charge you reasonable “administrative fees” or “processing fees” for (i) additional tasks we may perform outside the normal scope of the Services; (ii) additional time and/or costs we may incur in providing the Services, and/or (iii) your non-compliance with these Terms (as determined by us in our sole and absolute discretion). Typical administrative or processing fee scenarios include but are not limited to: (i) customer service issues that require additional personal time or attention; and (ii) recouping any and all costs and fees incurred by Fauri Law as the result of improper chargebacks or other payment disputes brought by you, your bank or other payment method processor, including credit card processing fees, refund fees, and penalties, etc. These administrative fees or processing fees will be billed to the Payment Account you have on file with the Fauri Law.
  8. YOU UNDERSTAND AND AGREE THAT ALL FEES ARE NONREFUNDABLE AND THAT FAURI LAW MAY CHANGE ANY PRICE, FEE, RATE, OR PLAN AT ANY TIME UPON NOTICE TO CUSTOMER IN ACCORDANCE WITH THESE TERMS.
  1. User Account

  1. In order to access certain Services, you must apply and register for an account for the Service (“User Account”). When you register for a User Account, you will be issued a user ID, associated password, or other login credentials (“Credentials”), which will be assigned specifically to you. Fauri Law, in its sole discretion, may deny User Account registration to you for any or no reason. You may only activate one (1) User Account. Fauri Law may rely on the accuracy of such information provided by you in your User Account and on any activity on the Service conducted through the use of Credentials.
  2. You are solely responsible for your use of the Service, for all use of the Service made by others using your Credentials, and for ensuring that such use complies fully with the provisions of these Terms of Service. You are further responsible for the confidentiality and use of your username, login name, login password, screen name, and any access numbers, names or additional passwords.
  3. In selecting a username, login name, and screen name, you may not impersonate any other person or entity, nor may you attempt to communicate anonymously with Fauri Law We encourage you to use “strong” passwords (passwords that use a combination of upper and lowercase letters, numbers and symbols). You are responsible for all communications made through the Website and Services using your username, login name, login password, or screen name. You must immediately notify Fauri Law if you become aware of any loss or theft of your username, login name, login password, or screen name or any unauthorized use of your username, login name, login password, or screen name.
  4. You are solely responsible for all activities that occur under your User Account whether by you or any other person who gains access to the Service by use of your Credentials or otherwise as a result of your failure to use reasonable security precautions. You agree that in no event shall Fauri Law be responsible for any losses directly or indirectly caused by the unauthorized use or misuse of your User Account or Credentials. You are not permitted to transfer to or resell your use of or access to the Services or Content to any third party.
  1. Term and Subscription Renewals

  1. Your subscription will continue for the period referenced during registration (the “Term”) and renew automatically at the end of the Term, unless you notify us that you are not renewing your subscription, by emailing us at info@faurilaw.ca, or by another designated cancellation method. You must notify us by using one of the foregoing methods at least one day before the renewal date in order to avoid being charged for the renewal of your subscription. You may not notify us of a decision not to renew your subscription by any other means. BY ALLOWING FOR YOUR RENEWAL, YOU PROVIDE YOUR ELECTRONIC AUTHORIZATION FOR FUTURE CHARGES AGAINST YOUR CREDIT CARD ON FILE.
  2.  No action by you or your failure to notify us as stated above will result in the then-applicable monthly, periodic, or annual subscription Fee being billed automatically to your Payment Account.  Please note that in connection with recurring billing for subscription renewals for such Subscription Services, you authorize the Fauri Law to bill the payment method(s) associated with your Payment Account, regardless of whether information associated with your subscription has changed, such as the expiration date of the credit card with which you initially subscribed.
  3. Services to which you subscribe to on a recurring basis will automatically renew on a recurring basis until the subscription Service is properly terminated in accordance with these Terms.
  4. You acknowledge and agree that the renewal price may be higher or lower than the price you paid for the then current term of the Services and that we are authorized to charge your Payment Account for the renewal of the Services. In any event, you are solely and absolutely responsible for the credit card or payment information you provide to Fauri Law and must promptly inform us of any changes thereto (e.g., change of expiration date or account number).
  1. Cancellations and Refunds

  1. When your initial subscription commences (which occurs upon your registration for a Subscription Service) your Payment Account will be billed the applicable subscription Fee and your paid subscription will commence.  Once your initial subscription commences, we do not provide refunds for initial orders or recurring monthly or annual payments. If you are not satisfied with the Service, your sole and exclusive remedy is to discontinue your use of the Service.
  2. Monthly Subscriptions. When cancelling a monthly subscription, all future charges associated with future months of your subscription will be cancelled. You may notify us of your intent to cancel at any time; your cancellation will become effective at the end of your current monthly billing cycle. You will not receive a refund; however your subscription access and/or delivery and accompanying subscriber benefits will continue for the remainder of the current monthly billing cycle.
  3. Annual Subscriptions. When cancelling an annual subscription, all future charges associated with future years of your subscription will be cancelled. You may notify us of your intent to cancel at any time; your cancellation will become effective at the end of your current annual billing cycle. You will not receive a refund, prorated or otherwise, for the remainder of the annual term. However, your subscription access and/or delivery and accompanying subscriber benefits will continue for the remainder of the current annual billing period.
  4. You can cancel your subscription by email to info@faurilaw.ca, or by any other designated cancellation method. You may not cancel a subscription by any other means. We reserve the right to issue refunds or credits at our sole discretion. If we do issue a refund or credit, we are under no obligation to issue the same or similar refund in the future.
  1. Fauri Law Gift Subscription

The Fauri Law Gift Subscription entitles the recipient to one year of Fauri Law access, starting upon activation. Gift subscriptions are for new subscribers only, aged 18 or older, and must be residents of Canada. Both the purchaser and recipient must agree to the Gift Subscription Terms.

The Gift Subscription holds no cash value and is non-redeemable for cash, except as required by law. The activation code is for one-time use, cannot be combined with other offers, and may only be used for a one-year Fauri Law Digital Access subscription. Fauri Law may refuse to honor a Gift Subscription in case of payment disputes.

Gift Subscriptions are non-refundable, non-transferable without written authorization from Fauri Law, and not valid if obtained from an unauthorized seller. Lost or stolen activation codes are not Fauri Law’s responsibility. Fraudulent activation may result in refusal to honor the Gift Subscription.

To continue access after the Gift Subscription ends, recipients must become paying subscribers according to Fauri Law’s current subscription terms.

Fauri Law utilizes Stripe as its trusted payment gateway for processing membership subscription fees. Stripe is a secure and reputable platform that ensures the safe and efficient handling of payment transactions. With Stripe, your payment details are encrypted and securely processed, providing you with peace of mind regarding the confidentiality and security of your financial information. Rest assured that your payments are handled with the highest level of safety and security. It’s important to note that we do not store credit card details, further enhancing the protection of your sensitive information. Stripe enables us to offer flexible payment options and ensures that your subscription fees are billed accurately and in accordance with our subscription terms. We are committed to safeguarding your payment information and providing a seamless and safe payment experience, thanks to our partnership with Stripe.

  1. Payment and Subscription Management

At Fauri Law, we believe in providing our members with control and flexibility over their subscriptions. Through our user-friendly portal, members have the ability to manage their subscriptions effortlessly. You have the freedom to make adjustments to your subscription as needed. This includes the option to cancel your subscription, upgrade or downgrade your plan to better suit your evolving legal needs, and easily update your payment information whenever necessary. Our user portal is designed to empower you, giving you the autonomy to tailor your subscription to align with your specific requirements. 

  1. Promotional Discounts & Introductory Offers

Periodically, we extend the opportunity for new subscribers to faurilaw.ca to enjoy our services at a reduced rate for a specified introductory period (“Introductory Offers“). These offers are exclusively available to first-time subscribers to faurilaw.ca. If you do not meet the criteria for an Introductory Offer, we reserve the right to decline your order and apply the prevailing subscriber pricing.

Fauri Law reserves the right to assess your eligibility for an Introductory Offer at any time, without prior notice, and without incurring any liability, to the extent permitted by applicable law.

For all Introductory Offers, you will be required to provide payment details to initiate a subscription to faurilaw.ca. By furnishing these details, you consent to the automatic charging of the full price of the Paid Subscription on the first day following the conclusion of the Introductory Offer. This charge will recur monthly or at another interval that we disclose to you in advance.

IF YOU DO NOT WISH TO INCUR THIS CHARGE, YOU MUST CANCEL YOUR SUBSCRIPTION BEFORE THE END OF THE INTRODUCTORY PERIOD BY CONTACTING CUSTOMER SUPPORT. IF YOU RECEIVED YOUR INTRODUCTORY OFFER THROUGH A THIRD PARTY, YOU MUST CANCEL THE APPLICABLE PAID SUBSCRIPTION THROUGH THE THIRD PARTY.

  1. FL Dr@ft Document Automation

These Terms apply to your use of the FL Dr@ft document generation system on the Fauri Law Website. Your agreement to these terms is required before using this system. You further agree and acknowledge that the FL Dr@ft documents have not been prepared with your specific circumstances in mind, may not be suitable for use in your business, and do not constitute tax advice.   1. Acceptable Use

Authorized Subscribers will be granted access to a Fauri Law account linked to their Company/Organizational specific email address. Subscriber shall refrain from using Fauri Law’s name, logo, trademark, service mark, or any other designation without obtaining prior written consent from Fauri Law.

Fauri Law hereby grants the Client a non-exclusive, non-transferable, non-sub-licensable license, permitting its Authorized Subscribers to consume Fauri Law content for personal use and for internal work-related, research, and general awareness purposes.
